It has come to my attention from many scenarios, that there is a disconnect with certain information being transferred over to small businesses especially minority-owned businesses

I have to go back to the basics, that most companies set up their own LLC or Corporation or they pay legalzoom and they think that’s it, they have a business. You must make sure you are in compliance with federal, state, and local laws. I have seen for instance an alarming rate of businesses not having a registered agent assigned to their LLC or Corporation

What is a registered agent?

A registered agent is a person or business authorized to receive and forward legal and official documents on behalf of another company, such as a corporation or LLC. This is a mandatory requirement in every state for these business structures, and the agent must have a physical address within the state and be available during normal business hours.

Did you know the consequences to not naming a registered agent?

Consequences of not having a registered agent:

Administrative dissolution: The state can administratively dissolve your business, which can lead to personal liability for business debts.

Loss of good standing: You will lose your business's "good standing" with the state, which can prevent you from operating, renewing licenses, or taking out a business loan.

Missed legal documents: You will not have a designated person to receive important legal documents, such as lawsuits and tax notices. This can lead to a default judgment against your business, which can put your assets at risk.

Fines and penalties: The state can impose fines for non-compliance.
Inability to do business: You may be barred from conducting business in the state until the issue is resolved, and it can be more difficult to expand to other states.

If under your business the registered agent is blank that means you have not completed this. Correct it immediately!
