The standard lease language says: "Gross sales means all revenue from or arising out of the premises." Sounds simple. It isn't.

Common disputes include:

โ“ Gift card sales โ€” at purchase or redemption?
โ“ Returns and discounts?
โ“ Credit card processing fees?
โ“ Sales tax?

Here's exactly what to negotiate before you sign:

1. Precise Definition ๐Ÿ“‹
Gross sales = retail sales of merchandise from the premises for cash or credit, excluding returns, online orders fulfilled from other locations, delivery fees, sales tax, and gift card sales until redeemed.
2. Excluded Revenue Sources ๐Ÿšซ
Wholesale, catering, third-party delivery commissions, and sale of fixtures or equipment should all be excluded.
3. Deductible Fees ๐Ÿ’ณ
Credit card processing fees should be deducted from gross sales. This is negotiable โ€” get it in writing.
4. Reporting Timeline ๐Ÿ“…
Monthly sales reports due 30 days after month-end. Annual certification due 90 days after year-end.

Landlord audits once annually, at landlord's expense โ€” unless the audit reveals underreporting exceeding 3%.

Shortfall plus interest at 6%, not 18%. That distinction matters enormously if a dispute arises.

Vacancy rates dropped to 3.8% last quarter โ€” that's a landlord's market, and lease-up risk is low.

Northwest Calgary โ€” Manufacturing & Flex Industrial ๐Ÿญ Foothills Industrial, Sarcee Trail, and CN Rail intermodal proximity give the NW a major edge for manufacturing and the growing tech-manufacturing crossover. Older buildings mean value-add opportunities โ€” buy and reposition for flex-industrial use at prices that still make sense.
